1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the website thecompasscircle.com (the "Site"), and all services, programs, products, digital materials, consultations, and offers provided by The Compass Circle LLC ("Company," "we," "us," or "our").
By accessing the Site, booking a consultation, purchasing a service, enrolling in a program, or otherwise engaging with us, you ("Client," "you," or "your") agree to be bound by these Terms, our Privacy Policy, our Refund Policy, and any signed Enrollment Agreement. If you do not agree, do not use the Site or our services.
2. Eligibility
You must be at least 18 years of age and legally able to enter into binding contracts to use our services. By engaging with us, you represent and warrant that you meet these requirements and that all information you provide is accurate, current, and complete.
3. Services Offered
The Compass Circle provides services that may include, but are not limited to: government contracting consulting, SBA 8(a) and WOSB certification assistance, GovCon education and toolkits, trucking and logistics programs, dispatch services, lease-on programs, real estate development services, marketing and content services, and related advisory or educational offerings.
Specific deliverables, timelines, pricing, and terms for each engagement are defined in a separate Enrollment Agreement, Statement of Work, or program description provided at the time of enrollment.
4. No Guarantee of Results
You acknowledge and agree that:
The Compass Circle provides education, strategy, tools, templates, consulting, and professional services. We do not guarantee any specific outcome, including but not limited to certification approval, government contract awards, revenue, income, profit, business growth, or commercial success.
Results depend on your own execution, business decisions, work ethic, market conditions, regulatory factors, and circumstances outside our control.
Any testimonials, case studies, earnings examples, or success stories shared by the Company reflect individual experiences and are not promises or guarantees of similar results.
Federal certification programs (including 8(a) and WOSB) are administered by the SBA and other government bodies. Approval is at the sole discretion of those agencies. We assist with preparation and submission; we do not control approval decisions.
5. Client Responsibilities
To receive the full benefit of our services, you agree to:
Provide accurate, complete, and timely information and documentation;
Respond to our communications within five (5) business days;
Complete required tasks, submissions, and homework on the agreed timeline;
Maintain professional conduct in all interactions with our team;
Authorize charges only on payment methods you own or are authorized to use.
We are not responsible for delays, denials, or failed outcomes caused by your failure to meet these responsibilities.
6. Payment Terms
6.1 Authorization. By submitting payment, you authorize the Company and its payment processors to charge the payment method provided for the agreed amount, including any installments. You represent that you are the legitimate cardholder or account holder and have full authority to authorize the transaction.
6.2 Installments and Auto-Debit. Certain programs are offered on payment plans with scheduled auto-debit. By enrolling, you authorize all scheduled charges and agree to maintain valid payment information. Failed payments may result in suspension of services and collection action.
6.3 Failed Payments. A late fee of $35 or 5% of the outstanding balance (whichever is greater) may be applied to failed or missed payments. Repeated failures may result in immediate termination of services and the full remaining balance becoming due.
6.4 Pricing. All prices are listed in U.S. dollars and are subject to change. Pricing locked in at enrollment applies for the duration of that engagement.
7. Refund Policy
All sales are subject to our Refund Policy, available at [thecompasscircle.com/refund-policy] and incorporated here by reference. By purchasing, you acknowledge you have read and accepted that Refund Policy.
Generally: due to the immediate delivery of proprietary materials, intellectual property, and strategic resources, all payments are final and non-refundable unless otherwise specifically stated in a signed Enrollment Agreement.
8. Chargeback and Dispute Resolution Policy
This section is critical. Read carefully.
8.1 Internal Resolution First. If you have any concern regarding billing, services, or your experience, you agree to contact us in writing at [insert email] before initiating any chargeback, payment dispute, or claim with your bank, credit card issuer, or payment processor. You agree to allow us a minimum of fifteen (15) business days to investigate and respond.
8.2 Chargeback Waiver. By accepting these Terms and completing a purchase, you expressly waive your right to initiate a chargeback or payment dispute for any reason covered by these Terms or your signed Enrollment Agreement, including but not limited to: change of mind, dissatisfaction, failure to use the service, perceived non-performance, or claims of "service not as described" when services have been delivered as documented.
8.3 Material Breach. Initiating a chargeback without first completing the internal resolution process above constitutes a material breach of these Terms. In that event, you agree to reimburse the Company for:
(a) The full disputed amount;
(b) All chargeback fees and processor penalties;
(c) A $250 administrative processing fee;
(d) Reasonable attorneys' fees, collection costs, and court costs incurred in recovering the disputed amount.
8.4 Fraudulent Disputes. Filing a chargeback alleging "unauthorized transaction," "fraud," or "services not received" when you have authorized the transaction, signed an Enrollment Agreement, or received services may constitute friendly fraud and/or wire fraud. We reserve the right to:
Report the disputed transaction to consumer credit bureaus;
Refer the matter to collection agencies;
Report the incident to the Federal Trade Commission, your state Attorney General, and applicable law enforcement;
Pursue civil litigation for the full amount owed plus damages, fees, and costs;
Permanently bar you from future services with the Company.
8.5 Evidence of Delivery. You acknowledge that the following constitute delivery of services and are admissible as evidence in any dispute: access granted to digital portals or materials, attendance at scheduled calls, receipt of templates or deliverables, submissions made on your behalf, written communications, and time logs.
9. Intellectual Property
All content on the Site and all materials provided through our services — including but not limited to text, graphics, logos, templates, frameworks, training materials, video, audio, course content, and proprietary methodologies — are the exclusive property of The Compass Circle LLC and are protected by copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to use the materials solely for your own personal or business use. You may not:
Copy, reproduce, distribute, sell, resell, or commercially exploit any materials;
Share login credentials or grant access to others;
Create derivative works without written permission;
Use our materials to compete with the Company or train competing offerings.
Violation of this section will result in immediate termination of access without refund and may result in legal action including injunctive relief and damages.
10. Confidentiality
Both parties agree to keep confidential any non-public business, financial, strategic, or personal information shared during the engagement. This obligation survives termination of services.
11. Acceptable Use
You agree not to:
Use the Site or services for any unlawful purpose;
Impersonate any person or misrepresent your affiliation;
Upload malicious code or attempt to compromise the Site;
Harass, abuse, or threaten our team members or other clients;
Make defamatory or disparaging public statements about the Company without first attempting good-faith resolution.
We reserve the right to terminate services and pursue legal remedies for violations.
12. Termination
We reserve the right to suspend or terminate your access to services at any time, without refund, for any breach of these Terms, including but not limited to: non-payment, abusive conduct, fraud, chargeback initiation in violation of Section 8, or violation of intellectual property terms.
13. Disclaimers
The Site and services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. We disclaim all warranties including merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
We do not warrant that the Site will be uninterrupted, error-free, secure, or free from viruses or harmful components.
14. Limitation of Liability
To the maximum extent permitted by law, in no event shall The Compass Circle LLC, its owners, employees, contractors, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, or business interruption, arising out of or related to your use of the Site or services.
Our total aggregate liability for any claim arising from these Terms or the services shall not exceed the total amount you paid to the Company in the six (6) months preceding the claim.
15. Indemnification
You agree to indemnify, defend, and hold harmless The Compass Circle LLC and its owners, employees, contractors, and affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the services, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) any false, misleading, or fraudulent information provided by you.
16. Dispute Resolution and Governing Law
16.1 Governing Law. These Terms are governed by the laws of the State of Tennessee, without regard to conflict of law principles.
16.2 Binding Arbitration. Any dispute, claim, or controversy arising out of or related to these Terms or our services shall be resolved through final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in Shelby County, Tennessee. Judgment on the award may be entered in any court of competent jurisdiction.
16.3 Class Action Waiver. You agree that any arbitration or legal action shall be conducted on an individual basis only and not as part of a class, collective, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
16.4 Time to File. Any claim must be filed within one (1) year after the cause of action arises, or it is permanently barred.
17. Electronic Communications and Signatures
You consent to receive communications from us electronically. You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that they be in writing. Electronic signatures (including DocuSign, HelloSign, PandaDoc, checkbox acceptance, and email confirmation) are legally binding and enforceable.
18. Modifications
We reserve the right to modify these Terms at any time. Updated Terms will be posted on the Site with a revised Effective Date. Continued use of the Site or services after changes constitutes acceptance. For existing clients with signed Enrollment Agreements, the Terms in effect at signing apply to that engagement.
19. Severability
If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
20. Entire Agreement
These Terms, together with our Privacy Policy, Refund Policy, and any signed Enrollment Agreement, constitute the entire agreement between you and The Compass Circle LLC.
